1. Introduction
Welcome to Dado Kitchens (“we”, “us”, “our”, “Dado Kitchens”). These Terms & Conditions (“Terms”) govern your access to and use of our website dadokitchens.com (the “Website”) and the services provided by Dado Kitchens (the “Services”). By accessing or using the Website or contracting with us for Services, you (“you”, “Client”, “Customer”) agree to be bound by these Terms. If you do not agree to all of the Terms, do not access or use the Website or the Services.

Dado Kitchens provides custom kitchen design, cabinetry manufacturing and installation, and related consultation services in the Vancouver / British Columbia area (the “Services”). These Terms apply to any contract or agreement you enter into with us for such Services and your use of the Website in connection with inquiry, information or contracting.

‍3. Use of Website
‍You agree to use the Website only for lawful purposes, and in a manner consistent with all applicable laws and regulations.  You must not use the Website to: (a) upload, post or transmit any material which is unlawful, infringing, defamatory, offensive or otherwise objectionable; (b) interfere with or disrupt the Website, or servers or networks connected to it; (c) impersonate another person or entity or misrepresent your affiliation with a person or entity.  We reserve the right to suspend or terminate your access to the Website at any time, for any reason, without notice.

4. Intellectual Property
‍All content on the Website, including text, images, graphics, logos, designs, videos and software, is the property of Dado Kitchens or its licensors and is protected by Canadian and international copyright, trademark and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Website for your personal, non-commercial use only. You may not reproduce, distribute, display, modify or create derivative works of the Website content without our prior written consent.

Client Contract and Payment Terms: When you engage Dado Kitchens for Services, we will provide you with a written quote, service agreement or purchase order outlining the scope of work, materials, timelines, payment schedule and other relevant terms (“Service Agreement”). Payment terms, including deposit requirements, milestone payments, final payment and any late payment interest or costs, will be set out in the Service Agreement. Unless specified otherwise, you agree to pay all fees, charges and applicable taxes in accordance with the Service Agreement. For clarity, all sums are in Canadian dollars and are due when specified. Failure to pay on time may result in delay of Services and/or interest and collection costs.

‍6. Materials, Changes & Delays
‍You will provide timely decisions, measurements, approvals, access and any required information or materials to allow us to perform the Services. If you delay or fail to provide what is needed, we are not liable for delays, additional costs or resulting damage. Changes in scope requested by you may result in an amendment to the Service Agreement and additional costs and/or delays. We endeavour to meet timelines, but any date or period given is an estimate only. We are not liable for any loss or damage caused by delays beyond our reasonable control.

‍7. Warranties & Limitation of Warranty
‍We warrant that the Services will be provided with reasonable care and skill and in accordance with applicable industry standards. Except as expressly set out in these Terms or the Service Agreement, all other warranties (express or implied) are excluded to the fullest extent permitted by law, including any implied warranty of merchantability or fitness for a particular purpose.

‍8. Limitation of Liability
‍To the maximum extent permitted by law, Dado Kitchens’ total liability to you under or in connection with these Terms or any Service Agreement, whether in contract, tort (including negligence) or otherwise, shall not exceed the amount of fees paid by you for the Services giving rise to the claim. In no event will Dado Kitchens be liable for any indirect, special, incidental, consequential or punitive damages (including loss of profit, business interruption or goodwill), even if we have been advised of the possibility of such damages. This limitation of liability reflects a fair allocation of risk between you and us, and you acknowledge this is reasonable.

‍9. Indemnification
You agree to indemnify, defend and hold harmless Dado Kitchens, its directors, officers, employees, contractors and agents from and against any and all claims, liabilities, losses, damages, costs or expenses (including legal fees) arising out of or in connection with: (a) your breach of these Terms or Service Agreement; (b) your negligent or wilful acts or omissions; (c) your violation of applicable laws or third-party rights; or (d) materials or information you supply to us that infringe third-party rights

‍10. Privacy & Data
‍Our collection, use and disclosure of your personal information is governed by our Privacy Policy, which you should review. By agreeing to these Terms, you also consent to our use of your personal information as set out in the Privacy Policy. We may retain data after completion of Services in accordance with our data retention practices and applicable laws.

The Website may contain links to third-party websites or resources. These links are provided for your convenience only. We do not endorse and are not responsible for the availability, content or accuracy of third-party websites. Your use of third-party websites will be at your own risk.

‍12. Termination & Suspension
‍We may terminate or suspend your access to the Website or to Services under a Service Agreement at any time if you breach these Terms or the Service Agreement and fail to remedy that breach within a reasonable period (if applicable).On termination, all outstanding amounts owed to us become immediately due and payable, and we may retain any deliverables, retain performance of Services or cease work until you have fulfilled all obligations. Termination does not affect any rights or obligations which have accrued before termination.

We reserve the right to modify or update these Terms at any time. If we make changes, we will post the updated Terms on the Website and indicate the date of the most recent revision. Your continued access or use of the Website or continuation of Services after the effective date of the revised Terms constitutes your acceptance of the changes. ‍14. Governing Law & Jurisdiction
These Terms and any Service Agreement between you and Dado Kitchens shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You hereby submit to the exclusive jurisdiction of the courts of British Columbia for resolution of any disputes arising under these Terms or Service Agreements.

If any provision of these Terms is held to be invalid, illegal or unenforceable in any respect, the validity, legality or enforceability of the remaining provisions shall not be affected or impaired, and the provision shall be deemed modified to the minimum extent necessary to make it enforceable.

‍16. Entire Agreement
These Terms (together with any Service Agreement, quote or schedule) constitute the entire agreement between you and Dado Kitchens regarding your use of the Website and the Services, and supersede all prior or contemporaneous communications, proposals, representations or understandings, whether oral or written.
